1. Preamble and definitions
1.1 Introduction
These Organizer Terms of Use (hereinafter the "Organizer Terms") govern the contractual relationship between RaceUp and the sports Event Organizers using the Platform.
RaceUp is an online ticketing platform dedicated to sports events, published by:

1.2 Purpose
These Organizer Terms set out the conditions under which the Organizer may use the RaceUp Platform to:
- Create and publish sports events
- Collect participants' registrations
- Receive payments via Stripe Connect
- Manage participants' data
- Communicate with participants
1.3 Definitions
- Platform or RaceUp: the ticketing platform available at https://raceup.org
- Publisher: Timothy ALCAIDE, operator of the Platform
- Organizer: any natural person (acting professionally) or legal person (association, company, etc.) using the Platform to sell tickets for an Event
- Participant: any person buying a ticket for an Event via the Platform
- Event: any sports event organized by the Organizer whose registrations are managed via the Platform
- Organizer Account: the Organizer's personal space on the Platform
- Stripe Connect account: the Organizer's payment account linked to Stripe
- Service fee: commission charged by RaceUp and paid by the Participant
- Organizer Terms: these Terms of Use applicable to Organizers
1.4 Acceptance of the Terms
Use of the Platform by the Organizer implies full, complete and unreserved acceptance of these Organizer Terms.
The Organizer acknowledges having read the Organizer Terms and expressly accepts them when creating its account.
2. Registration and Organizer Account
2.1 Eligibility conditions
To create an Organizer Account, the Organizer must:
For legal persons:
- Be a legally constituted entity (association under the French law of 1901, company, etc.)
- Be represented by a person authorized to bind the entity
- Provide a valid SIRET number or RNA number (associations)
For sole traders / professionals:
- Be registered and hold a valid SIRET number
- Lawfully carry out an event organization activity
In all cases:
- Comply with the legislation applicable to the organization of sports events
- Hold the necessary authorizations and insurance
2.2 Account creation
The Organizer must provide accurate and up-to-date information, in particular:
- Company or trade name
- Legal form
- SIRET or RNA number
- Registered office address
- Contact details of the legal representative or the person in charge of the event
- Email address and phone number
The Organizer undertakes to keep this information up to date.
2.3 Stripe Connect account
To receive payments, the Organizer must create and set up a Stripe Connect account. This account is:
- Created directly with Stripe
- Subject to Stripe's terms of use (https://stripe.com/legal/connect-account)
- Under the sole responsibility of the Organizer
The Organizer undertakes to:
- Provide Stripe with accurate information for identity verification (KYC)
- Comply with the tax obligations related to the payments received
- Keep its Stripe account in good standing
RaceUp is not responsible for the relationship between the Organizer and Stripe, nor for any blocking, withholding or dispute with Stripe.
2.4 Account security
The Organizer is solely responsible for keeping its login details confidential and for any activity carried out from its account.
3. Services provided by RaceUp
3.1 Description of the services
RaceUp provides the Organizer with:
- An event creation tool (customizable forms, pricing, options)
- An event presentation page
- An online registration system for participants
- Secure payment processing via Stripe Connect
- Transmission of registration data
- A management dashboard (list of registrants, exports, statistics)
- A QR code check-in system
- Automatic registration confirmations sent to participants
- Technical support
3.2 Business model
RaceUp is free for Organizers.
The business model is based on:
- The RaceUp service fee: commission charged on each transaction, paid by the Participant (and not by the Organizer)
- Stripe fees: bank fees charged by Stripe on payments, according to Stripe's current price list
The Organizer receives the set ticket price, less only the Stripe fees.
3.3 Financial flows
Payments are processed via Stripe Connect as follows:
- The Participant pays the total amount (ticket price + service fee + Stripe fees)
- Stripe pays the ticket price to the Organizer (after deduction of Stripe fees)
- RaceUp receives the service fee via Stripe Connect
RaceUp never holds the funds intended for the Organizer. Funds flow directly through Stripe.
3.4 Availability
RaceUp strives to ensure the availability of the Platform 24/7, but does not guarantee permanent availability.
Interruptions may occur for maintenance, updates or circumstances beyond RaceUp's control. The Organizer will be informed of scheduled maintenance whenever possible.
4. Organizer's obligations
4.1 General obligations
The Organizer undertakes to:
- Use the Platform in accordance with these Terms and the legislation in force
- Provide accurate and non-misleading information about its Events
- Honour its commitments to Participants
- Respond to Participants' requests within a reasonable time
- Not use the Platform for unlawful or fraudulent purposes
4.2 Obligations relating to Events
The Organizer is solely and fully responsible for its Events. It guarantees:
Legality and authorizations:
- Holding all the necessary administrative authorizations (prefectural declaration, municipal authorizations, etc.)
- Complying with the regulations applicable to sports events (French Sports Code, prefectural orders, etc.)
- Being affiliated, where applicable, with the relevant sports federations
Insurance:
- Having taken out organizer's civil liability insurance covering the Event
- Checking the cover provided by this insurance (amounts, exclusions, etc.)
- Advising Participants to take out personal accident insurance
Safety:
- Putting in place safety arrangements appropriate to the Event
- Providing emergency services in accordance with the regulations
- Planning the necessary measures in case of adverse weather conditions
Quality:
- Providing the services announced to Participants (refreshments, medals, timing, rankings, etc.)
- Ensuring the quality and safety of the routes
- Respecting the announced schedule and organization
4.3 Refund policy
The Organizer sets its own refund policy, which it must:
- Clearly indicate on the Event page BEFORE Participants register
- Apply transparently and fairly
- Communicate to Participants before any change
The Organizer may provide for:
- Cancellation conditions for the Participant
- Refund conditions (deadlines, amounts, possible fees)
- Bib transfer policy
- Conditions in the event of cancellation of the Event
RaceUp is not involved in the Organizer's refund decisions, unless required by law.
4.4 Cancellation or modification of the Event
In the event of cancellation or substantial modification of the Event, the Organizer undertakes to:
- Inform Participants as soon as possible by any appropriate means
- Apply its refund policy as announced
- Make the refunds due via Stripe
- Inform RaceUp of the cancellation
The Organizer remains solely responsible for refunds and for handling Participants' complaints.
4.5 Published content
The Organizer is solely responsible for the content it publishes on the Platform (descriptions, images, rules, etc.).
The Organizer guarantees that this content:
- Is accurate and not misleading
- Does not infringe the rights of third parties (intellectual property, image rights, etc.)
- Is not unlawful (defamatory, discriminatory, etc.)
- Complies with advertising and consumer protection legislation
RaceUp reserves the right to remove any manifestly unlawful content.
4.6 Personal data protection
The Organizer becomes the data controller of the Participants' personal data passed on to it.
As such, the Organizer undertakes to:
- Comply with the GDPR (Regulation (EU) 2016/679) and the French Data Protection Act (loi Informatique et Libertés)
- Use the data only for the purposes of organizing the Event
- Secure the data and restrict access to authorized persons
- Not sell or transfer the data to third parties for commercial purposes
- Respect Participants' rights (access, rectification, erasure, etc.)
- Delete the data when it is no longer needed
- Inform RaceUp of any data breach affecting Participants
The Organizer may pass the data on to sports federations if the Event is affiliated, provided that Participants are informed.
5. Liability
5.1 Organizer's liability
The Organizer assumes full responsibility for:
- Organizing and running its Events
- The safety of Participants during the Event
- The Event's compliance with the regulations
- The services promised to Participants
- Its refund policy and its application
- Handling Participants' complaints
- The accuracy of the information published
- GDPR compliance for Participants' data
The Organizer undertakes to hold RaceUp harmless and indemnify it against any claim, legal action or judgment resulting from:
- The organization of its Events
- Failure to meet its legal or contractual obligations
- A dispute with a Participant relating to the Event
- An infringement of third-party rights
- A breach of personal data regulations
5.2 Limitation of RaceUp's liability
RaceUp acts exclusively as a technical intermediary.
RaceUp excludes all liability regarding:
- The organization, holding, quality or safety of Events
- The cancellation, postponement or modification of Events
- Personal injury, property damage or non-material damage occurring during Events
- Disputes between the Organizer and Participants
- The Organizer's refund decisions
- Content published by the Organizer
- The relationship between the Organizer and Stripe
- The Organizer's compliance with its legal and regulatory obligations
- The Event's compliance with the necessary authorizations and insurance
In any event, RaceUp's liability is limited to direct and foreseeable damage and may not exceed the amount of the service fees received by RaceUp over the last six (6) months for the Events of the Organizer concerned.
RaceUp cannot be held liable for indirect damage (loss of revenue, loss of reputation, damage to image, etc.).
5.3 Force majeure
Neither party can be held liable for a delay or failure to perform resulting from force majeure as defined in Article 1218 of the French Civil Code (an unforeseeable, irresistible and external event).
6. Intellectual property
6.1 RaceUp's rights
The RaceUp Platform, its architecture, features, graphic elements and software are the exclusive property of Timothy ALCAIDE.
The Organizer has a non-exclusive and non-transferable right to use the Platform for the duration of the contract.
6.2 Organizer's rights
The Organizer retains all intellectual property rights to the content it publishes (descriptions, logos, images, rules, etc.).
The Organizer grants RaceUp a non-exclusive, free, worldwide licence, for the duration of the rights, to use, reproduce and display this content for the purposes of operating and promoting the Platform.
6.3 Use of the RaceUp brand
The Organizer may state that it uses RaceUp for its registrations, provided that it complies with any brand guidelines communicated by RaceUp.
7. Term and termination
7.1 Term
The contract is concluded for an indefinite period from the creation of the Organizer Account.
7.2 Termination by the Organizer
The Organizer may terminate at any time by closing its account or by contacting RaceUp.
Important: Termination only takes effect once all ongoing Events have ended and all financial obligations have been settled.
7.3 Termination by RaceUp
RaceUp may terminate the contract:
With 30 days' notice:
- For convenience, by informing the Organizer by email
Without notice (immediate termination):
- In the event of a serious breach by the Organizer of its obligations
- In the event of fraud or attempted fraud
- In the event of unlawful content
- In the event of abusive use of the Platform
- In the event of an unresolved dispute with Stripe (account blocked, etc.)
- In the event of multiple well-founded complaints from Participants
7.4 Effects of termination
Upon termination:
- Access to the Organizer Account is deactivated
- Future Events are unpublished
- The Organizer remains responsible for its obligations towards Participants already registered
- Data is kept for the legal retention periods
8. Personal data
8.1 Processing by RaceUp
RaceUp processes the Organizer's data (identity, contact details, account data) in accordance with its Privacy policy.
8.2 Transmission to Organizers
RaceUp passes Participants' registration data on to the Organizer in the performance of the contract.
The Organizer becomes the data controller for this data (see Article 4.6).
8.3 Processing on behalf of the Organizer
Insofar as RaceUp collects and transmits data on behalf of the Organizer, RaceUp may act as a processor for certain operations.
RaceUp undertakes to:
- Process the data according to documented instructions
- Ensure the confidentiality of the data
- Implement appropriate security measures
- Use GDPR-compliant sub-processors (Vercel, Supabase, Stripe)
- Inform the Organizer in the event of a data breach
9. General provisions
9.1 Changes to the Terms
RaceUp may modify these Organizer Terms. Changes are notified by email or by a notification on the Platform with 15 days' notice.
Use of the Platform after the changes come into force constitutes acceptance.
9.2 Entire agreement
These Organizer Terms, together with the Privacy policy, constitute the entire agreement between RaceUp and the Organizer.
9.3 Partial invalidity
If a clause is declared invalid, the other clauses remain in force.
9.4 No waiver
RaceUp's failure to invoke a clause does not constitute a waiver.
9.5 Assignment
The Organizer may not assign its rights and obligations without RaceUp's prior consent.
RaceUp may assign the contract to any third party, in particular in the event of a transfer of the Platform, provided that it informs the Organizer.
9.6 Independence of the parties
The parties are independent contractors. There is no relationship of subordination, agency or partnership between them.
10. Governing law and jurisdiction
10.1 Governing law
These Organizer Terms are governed by French law.
10.2 Language
The French version of the Terms prevails over any translation.
10.3 Dispute resolution
In the event of a dispute, the parties undertake to seek an amicable solution before any legal action.
10.4 Jurisdiction
Failing an amicable solution, disputes between RaceUp and the Organizer will be subject to the exclusive jurisdiction of the courts of Montpellier, unless mandatory legal provisions provide otherwise.
11. Beta status
The RaceUp Platform is in development (beta).
The Organizer is informed that:
- Changes and modifications may occur
- Technical malfunctions may occur
- Some features may be modified or removed
RaceUp undertakes to inform the Organizer of major changes and to fix reported malfunctions as quickly as possible.
